Terms and conditions governing your use of Fedix products

These Terms of Service ("Terms") govern your access to and use of the products and services provided by Fedix Pty Ltd (ABN pending) ("Fedix", "we", "us", or "our"). Please read them carefully.
1. Acceptance of Terms
- By accessing or using any Fedix product or service ("Services"), including MyLedger, FediDoc, Practice Manager, and our website, you agree to be bound by these Terms of Service.
- If you are using our Services on behalf of an accounting practice or organisation, you represent that you have the authority to bind that entity to these terms.
- If you do not agree to these terms, you must not use our Services.
2. Description of Services
- Fedix provides AI-powered accounting software and tools for Australian accounting professionals, including automated bank reconciliation, financial statement generation, BAS preparation, and practice management.
- Our Services are designed as professional tools to assist qualified accountants. They do not constitute financial advice, tax advice, or a substitute for professional judgement.
- We may modify, update, or discontinue features of our Services at any time. We will provide reasonable notice of material changes.
3. Account Registration
- You must provide accurate, current, and complete information when registering for an account.
- You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
- You must notify us immediately of any unauthorised use of your account.
- We reserve the right to suspend or terminate accounts that violate these terms.
4. Acceptable Use
- You agree to use our Services only for lawful purposes and in accordance with these terms.
- You must not use our Services to process data in violation of Australian privacy laws or your professional obligations.
- You must not attempt to reverse-engineer, decompile, or disassemble any part of our software.
- You must not use automated scripts or bots to access our Services without our written permission.
- You must not upload malicious code, viruses, or any content that could harm our systems or other users.
5. Data Ownership and Responsibility
- You retain ownership of all data you upload to or create within our Services, including client financial data.
- You are responsible for ensuring you have appropriate authority and consent to process client data through our platform.
- You grant us a limited licence to process your data solely for the purpose of providing our Services.
- We do not claim ownership of your data and will not use identifiable client data for purposes other than providing the Services.
6. AI-Generated Content
- Our Services use artificial intelligence to generate suggestions, categorisations, and reports. These outputs are provided as recommendations only.
- You are responsible for reviewing and verifying all AI-generated content before relying on it for professional purposes.
- AI suggestions do not constitute professional accounting or tax advice. Professional judgement must always be applied.
- We do not guarantee the accuracy, completeness, or suitability of AI-generated outputs.
7. Pricing and Payment
- Pricing for our Services is published on our website and may be updated from time to time with reasonable notice.
- Subscriptions are billed in advance on a monthly or annual basis, as selected at the time of purchase.
- All fees are in Australian Dollars (AUD) and include GST where applicable.
- Refunds are handled on a case-by-case basis. Contact support@fedix.com.au for refund requests.
8. Intellectual Property
- All intellectual property rights in our Services, including software, design, trademarks, and documentation, remain the property of Fedix Pty Ltd.
- Your subscription grants you a limited, non-exclusive, non-transferable licence to use our Services for your accounting practice.
- You must not copy, modify, distribute, or create derivative works based on our Services without our written permission.
9. Limitation of Liability
- To the maximum extent permitted by Australian law, Fedix is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Services.
- Our total liability for any claim arising from these terms or your use of our Services is limited to the amount you paid for the Services in the 12 months preceding the claim.
- Nothing in these terms excludes or limits liability that cannot be excluded or limited under Australian Consumer Law.
10. Termination
- Either party may terminate the subscription at any time by providing written notice.
- Upon termination, you may request an export of your data within 30 days. After 30 days, we may delete your data in accordance with our data retention policy.
- We may immediately suspend or terminate your access if you breach these terms or engage in conduct that may harm our Services or other users.
11. Governing Law
- These terms are governed by the laws of New South Wales, Australia.
- Any disputes arising from these terms will be subject to the exclusive jurisdiction of the courts of New South Wales.
