Archived version of the Terms and Conditions, last updated 10 September 2026

This version was replaced on 1 October 2026 and is kept as a record. It is not the current Terms and Conditions. Read the current Terms and Conditions

Last Updated: 10 September 2026

What changed in this update

  • FediPilot, our desktop AI assistant, is now described in these Terms (Sections 3 and 8), including that it never lodges anything and that its Xero connection is read-only.
  • Section 5 now sets out the real commercial deal: per-practice pricing, a six-month initial term with the fee fixed, month-to-month after that, at least 60 days' notice of any renewal price change, and a no-cost exit if you do not accept it. We do not offer a free trial, so the free trial clause has been removed.
  • Section 8 now says plainly what we send to AI providers: documents you upload are sent in full, including as images for scans and photographs, and Anthropic is named alongside OpenAI and Mistral AI.
  • New clauses cover included onboarding and monthly AI credits, client identification and screening (KYC/AML) and its limits, session memory, and how we use your feedback.
  • If we change your price or these Terms in a way that is not in your favour, you can now leave without paying a cancellation fee (Sections 18 and 23).

1. Acceptance of Terms

By registering an account, accessing, or using our software-as-a-service platforms, Fedix (practice management and CRM) and MyLedger (AI-powered accounting), collectively referred to as "the Platform," you agree to be bound by these Terms and Conditions ("Terms"). The Platform is owned and operated by Tax7 R&D Pty Ltd (ABN 28 677 982 544) (referred to as "we," "us," or "our"), which owns the business names Fedix and MyLedger.

By accepting these Terms, you also agree to our Privacy Policy, our AI Supplemental Terms (Section 8 below), and any applicable Consumer Data Right (CDR) Policy (Section 9 below), each of which is incorporated by reference into these Terms.

The Platform is intended for use by professional accounting firms, registered tax agents, and bookkeepers in Australia. By accepting these Terms, you confirm that: (a) you are at least 18 years of age; (b) you meet the eligibility criteria for the services; and (c) you have the authority to bind the firm or entity you represent. These Terms apply to all products and sub-products within the Platform, including but not limited to Fedix (CRM and practice management), MyLedger (accounting and reconciliation), and any ancillary services, tools, or features made available through the Platform.

If you do not agree with any part of these Terms, you must not use the Platform. Continued use of the Platform constitutes ongoing acceptance of these Terms as amended from time to time.

3. Services Offered

We offer a subscription-based software platform that includes the following services and features:

Practice Management and CRM Tools:

Comprehensive tools to manage your accounting or tax practice, including client relationship management, contact management, task tracking, workflow automation, team collaboration, and practice analytics through the Fedix platform.

AI-Powered Analysis and Copilot:

An AI Copilot agent with a broad set of specialised tools that can carry out multi-step workflows at your direction, including transaction categorization, report generation, email drafting, and data analysis. AI Features utilize large language models (LLMs) from providers including OpenAI (United States), Mistral AI (European Union) and Anthropic (United States) to analyze client data, generate suggestions, draft communications, and provide intelligent recommendations. The Platform also employs cross-practice anonymous learning, where de-identified transaction patterns are used to improve categorization accuracy across all users. Please note that use of AI Features involves sending relevant data to third-party AI service providers via their APIs in order to generate results (see Section 8 for full AI terms).

Online Ledger and Accounting Services:

Cloud-based accounting ledger functionality through MyLedger, including bank reconciliation, journal entries, chart of accounts management, financial statement preparation, and transaction tracking for your clients. MyLedger can take raw records through a reconciled ledger, working papers, and a Special Purpose Financial Report. Fedix does not lodge; you choose and operate the separate lodgement software used for filing.

Tax Compliance Tools:

Professional tools and calculators to support tax compliance work, including Business Activity Statement (BAS) preparation, Income Tax Return (ITR) generation, Division 7A loan calculators, depreciation scheduling, Capital Gains Tax (CGT) calculations, Fringe Benefits Tax (FBT) tools, rental property schedules, and related compliance checklists and reports.

Open Banking and CDR Integration:

Integration with accredited data recipients (such as Adatree) under the Australian Consumer Data Right (CDR) framework, enabling real-time bank feed access and automatic transaction import with your clients' express consent. CDR Data is subject to the additional terms set out in Section 9.

E-Signature Services:

Electronic document signing functionality enabling you and your clients to execute documents digitally, with full audit trail and compliance capabilities. See Section 10 for additional E-Signature terms.

Voice AI Agent:

An AI-powered telephone system that can handle inbound calls on behalf of your practice, providing callers with information, taking messages, creating bookings, and routing calls as appropriate. See Section 11 for additional Voice Agent terms.

Email Integration:

Integration with Microsoft 365 via the Microsoft Graph API, enabling email reading, composition, and sending directly within the Platform. This feature requires you to authorize access to your Microsoft 365 account and is subject to Microsoft's applicable terms of service.

Meeting Intelligence:

AI-powered analysis of Microsoft Teams meeting transcripts, providing summaries, action items, and insights from your meetings. This feature processes transcript data through AI Features and is subject to the AI terms in Section 8.

Share Links and Client Collaboration:

Secure, shareable URLs that allow your clients to review transaction data, provide comments, flag GST status, and collaborate on reconciliation work without requiring a Platform account. See Section 12 for additional Share Link terms.

Integrated Payment Gateway:

Integration with Stripe's payment gateway API to allow you to process payments from your clients. When you use this feature, we facilitate payment processing and charge a service fee (a percentage of each transaction) on settlements processed through our gateway. All such fees and charges are disclosed on our website and on invoices or settlement statements within the Platform.

Booking and Scheduling:

Online booking and appointment scheduling tools with calendar synchronization, enabling your clients and prospects to book meetings and consultations with your practice.

Client Portal:

A secure portal through which your clients can access shared documents, view their financial data, respond to queries, and interact with your practice digitally.

FediPilot (Desktop AI Assistant):

FediPilot is a desktop application that works alongside your Fedix and MyLedger subscription. It helps you prepare working papers, read client documents, and fill in forms in lodgement software such as LodgeiT by controlling your browser the way you would yourself. FediPilot uses AI models from Anthropic (United States) as well as our other AI providers, and is subject to the AI terms in Section 8.

FediPilot does not lodge anything. It does not submit, sign, file, or declare anything to the ATO or any other authority, and it does not provide tax agent services. You review and submit every lodgement yourself, as the registered agent. Nothing FediPilot does changes your obligations as a registered tax agent or BAS agent, or your client's position under the safe harbour provisions in section 284-75 of Schedule 1 to the Taxation Administration Act 1953 (Cth) -- those depend on your engagement with your client, not on the software you use.

FediPilot's Xero connection is read-only. It can sign in and read pages; it cannot lodge, submit, approve, amend, or delete anything in Xero.

FediPilot is included with your subscription. There is no separate FediPilot subscription. It is made available to subscribed users once onboarding and training are complete.

Client Identification and Screening (KYC/AML) Assistance:

Features that help you with client identification and screening work by reviewing and summarising the information and identity documents you provide. These features use AI. Their scope and limits are set out in Section 8.

All services are provided via our cloud-based Platform on a subscription basis ("Software-as-a-Service"). We reserve the right to improve, modify, or discontinue any features or introduce new features at our discretion, with reasonable notice where practicable. Some features rely on third-party services or data sources, and their availability may depend on those providers (see Section 13). Not all features may be available on all subscription tiers.

4. User Accounts and Security

To access the Platform, you (the subscribing firm) must create an account. When creating an account, you agree to provide accurate, current, and complete information about your firm and Authorized Users, and to keep this information updated. Each Authorized User must keep their login credentials confidential and secure. You are responsible for all activities that occur under your account, including actions taken by your personnel or any Authorized Users you add to your account.

Multi-Factor Authentication (MFA): We may require MFA for administrator accounts and accounts with elevated privileges. Where MFA is required, you must enable and maintain it as a condition of continued access. We strongly recommend enabling MFA for all Authorized Users.

Authorized User Management: If we provide tools to manage multiple Authorized Users (e.g., staff of your firm), you are responsible for managing permissions, access levels, and ensuring that all Authorized Users comply with these Terms. You must promptly deactivate access for any individual who is no longer authorized (e.g., former employees). You must not allow anyone outside your organization or any unapproved user to access the Platform using your account.

If you become aware of any unauthorized access or breach of security, you must promptly notify us at support@fedix.com.au. We are not liable for any loss or damage arising from your failure to maintain the confidentiality of your account credentials or to manage Authorized User access appropriately.

5. Fees, Payment and Subscription Term

Subscription Fees:

Fedix is priced per practice. Your fee is set out in your accepted agreement. Your practice-size band is the higher of (a) the number of clients linked to your practice in the ATO portal and (b) your number of users -- the two counts are not added together. All fees are stated in Australian dollars (AUD) and are exclusive of GST, which will be added to your invoice at the applicable rate. Subscriptions are billed monthly in advance.

Subscription Term and Price Changes:

Your subscription has an initial term of six months, commencing on the date your practice goes live. After the initial term, your subscription continues month to month until either party ends it under Section 18.

Your fee is fixed for the initial six-month term. We will not change it during that time. We may vary pricing for a renewal period by giving you at least 60 days' written notice before the change takes effect. If you do not accept the new pricing, you may terminate before it takes effect at no cost and with no cancellation fee.

Early termination. If you terminate during the initial term other than for our material breach, or other than because we have materially degraded or removed a core feature you subscribe to, you remain liable for the fees for the remainder of that term. You may export your data at any time, and we will not withhold your data on account of any amount owing.

Included AI Credits:

Your subscription includes a monthly allowance of AI credits. The number of credits included at your plan and practice-size band is stated on our pricing page and in your accepted agreement. Credit conversion, whether unused credits carry over, and any charge for additional usage will be stated to you before you agree to it. We will not bill you for AI usage beyond your included allowance without your agreement.

Included Onboarding and Training:

Your subscription includes four onboarding sessions over four weeks: migration and integrations, Fedix training, MyLedger training, and FediPilot training with workflow planning tailored to your practice. We arrange these one to one with your team. There is no separate fee for this programme.

No Free Trial:

We do not offer a free trial. If you would like to see the Platform before subscribing, contact us for a guided demonstration.

Payment Method:

Subscription fees and any usage-based charges (such as payment processing service fees) will be billed through the payment method you provide. We use Stripe as our third-party payment processor. You must provide a valid credit card or other accepted payment information and promptly update any changes. By providing a payment method, you authorize us to charge the subscription fees and any applicable charges to it. If we issue invoices, payment is due within the timeframe stated on the invoice.

Transaction Fees (Payment Gateway):

If you use our integrated payment gateway to process payments from your clients, you agree that we will charge a transaction fee (a percentage of each transaction amount, as disclosed in the Platform). These fees are in addition to any fees Stripe itself charges for payment processing. The net amount after all fees will be settled to you. We will display or make available reports detailing the fees charged. By using the payment feature, you consent to such fees being deducted or charged. We may adjust our transaction fee rates from time to time with notice to you.

No Refunds:

Subscription payments and transaction fees are generally non-refundable except as required by law. If you cancel in the middle of a billing period, the cancellation will take effect at the end of that period and you will not be entitled to a prorated refund for the remaining days. Fees paid are for the access to and use of the Platform for the paid term, regardless of actual usage. Nothing in this clause excludes, restricts, or modifies any right or remedy, or any guarantee, warranty, or other term or condition implied or imposed by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable legislation which cannot lawfully be excluded or limited. If the Australian Consumer Law applies to you as a "consumer," our liability for failure to comply with a consumer guarantee is limited as set out in Section 16.

Where we will refund you: if we materially degrade or remove a core feature you subscribe to during your term, if we terminate your subscription other than for your material breach, or if you cancel because you do not accept a price change or a change to these Terms that is not in your favour, you will receive a pro-rata refund of fees paid for the unexpired portion of the period you have paid for.

Late Payment and Suspension:

It is essential that subscription fees are paid on time to maintain access. If your payment is past due or if your provided payment method fails, we will notify you (e.g., via email). If payment is not made within a reasonable grace period stated in the notice, we reserve the right to suspend or revoke your access for non-payment. We may also terminate your account if fees remain unpaid for an extended period. You are responsible for any costs of debt collection for overdue fees, including reasonable legal fees if incurred.

6. Acceptable Use and User Obligations

By using our Platform, you agree to use it only for lawful purposes and in compliance with these Terms and all applicable laws and regulations. In particular, you agree that you will not:

(a) Use the Platform in any manner that is illegal, fraudulent, or harmful, or that violates any professional standards or laws applicable to tax and accounting services (including the Tax Agent Services Act 2009 (Cth), the Privacy Act 1988 (Cth), and applicable state and territory legislation).

(b) Use the Platform to upload, transmit, or store any content that is defamatory, obscene, offensive, or infringing on any third party's rights, or that contains personal information about individuals without proper authorization.

(c) Engage in any activity that could disrupt or interfere with the functioning of the Platform or its security, including introducing viruses or malicious code, attempting to bypass security measures, or trying to gain unauthorized access to other users' data or our systems.

(d) Reverse engineer, decompile, or otherwise attempt to derive the source code or underlying ideas or algorithms of any part of the Platform, except as permitted by the Copyright Act 1968 (Cth) or other applicable law.

(e) Use any automated systems (e.g., bots, scrapers) to access the Platform or extract data, except through our official API if provided and with our prior written permission.

(f) Resell, rent, or lease the services or provide access to the Platform to any third party who is not an Authorized User under your account, without our prior written consent.

AI-Specific Acceptable Use: In addition to the general restrictions above, you agree that you will not:

(i) Use AI Features to generate fraudulent, misleading, or materially inaccurate tax returns, financial statements, or other professional documents;

(ii) Use AI Features to circumvent professional standards, ethical obligations, or regulatory requirements applicable to your profession;

(iii) Attempt to extract, reverse engineer, or replicate AI model weights, architectures, training data, or proprietary algorithms used by the Platform or its third-party AI providers;

(iv) Use AI Features to process, analyze, or otherwise handle data for which you do not have proper authorization or consent from the data subject;

(v) Rely on AI Outputs as the sole basis for any professional advice, filing, or submission without independent human review and verification by a qualified professional.

Share Link Acceptable Use: When generating and distributing Share Links, you must not share your own account credentials with clients. You are solely responsible for determining who receives a Share Link and for revoking access when it is no longer appropriate.

Voice Agent Acceptable Use: If you use the Voice Agent feature, you acknowledge that callers are told at the start of each call that the call may be monitored and recorded, that they may be speaking with an AI assistant, and that they can ask to be transferred to a person at any time.

E-Signature Acceptable Use: You must only use E-Signature functionality for document types that are legally permitted to be signed electronically under applicable law. You are responsible for ensuring that E-Signatures are appropriate for your specific use case and jurisdiction.

We reserve the right to suspend or terminate your account for any violation of the above restrictions or any other misuse of the Platform, without liability, at our discretion. You are responsible for any consequences (including legal liability or loss of data) that result from your breach of these obligations.

7. Customer Data and Privacy

Ownership of Data:

As a Customer, you retain all rights to your Customer Data. We do not claim ownership of your Customer Data. Subject to these Terms, you grant us a limited license to host, use, transmit, and process your Customer Data solely as needed to provide the services and fulfill our obligations (for example, to store it on our servers, back it up, display it to you, transmit it to an AI provider to generate an analysis at your request, or share it via a Share Link you create). We will handle all personal information within Customer Data in accordance with our Privacy Policy and applicable privacy laws, including the Privacy Act 1988 (Cth) and the Australian Privacy Principles.

Aggregated and Anonymized Data:

You agree that we may use de-identified, aggregated data derived from Customer Data to improve our services, develop features, conduct research, generate benchmarks, and create anonymized cross-practice learning patterns. Such anonymized data will not identify you, your firm, your clients, or any individual. This license to aggregated and anonymized data survives termination of your account. For further details on cross-practice learning, see Section 8.

Your Responsibilities Regarding Data:

You represent and warrant that you have the legal right to provide us with any personal or confidential data that you input into the Platform. If you upload personal information about individuals (such as your clients or employees), you must ensure you have obtained all necessary consents or have another valid legal basis to collect and share that information with us for the purposes of using the Platform. You agree that you (and not us) are responsible for the content of Customer Data you provide and for ensuring it is accurate, reliable, and lawful. We are not responsible for any personal data you collect or input without proper authority.

Data Protection:

We implement reasonable technical and organizational measures to protect Customer Data against unauthorized access, disclosure, alteration, or destruction. However, you acknowledge that no method of electronic storage or transmission is completely secure, and we cannot guarantee absolute security of data. You should maintain your own backups of your data where feasible. You also acknowledge that the technical processing and transmission of the services, including your data, may involve transmissions over various networks and changes to conform to technical requirements of connecting networks or devices.

Data Export and Portability:

During your subscription, you will have access to your Customer Data and the ability to export or download certain data (for example, exporting reports or client lists). Upon termination, you will have a 90-day window to export your Customer Data (see Section 18). You may request data export in commonly used formats including CSV, JSON, and PDF. It is your responsibility to export any data you need to retain prior to the expiration of the data retention period.

8. Artificial Intelligence Terms

The following terms apply to your use of any AI Features within the Platform. These terms supplement (and do not replace) the general terms set out elsewhere in this agreement.

AI Output Disclaimer:

AI Outputs may contain inaccuracies, omissions, biases, or errors. AI Outputs do not constitute financial, tax, accounting, legal, or any other form of professional advice. You must independently verify all AI Outputs before relying on them in any professional capacity. AI technology is inherently probabilistic and may produce different results for the same input. We make no representation or warranty that any AI Output is accurate, complete, current, or fit for any particular purpose.

What We Send to AI Providers:

When you use a feature that reads a document, we send that document to our AI providers so they can read it. For scanned documents, photographs and images, this means the image itself is sent, not just text taken from it -- that is how the reading works. This includes receipts, invoices, bank statements, tax documents, and identity documents you upload for client verification. Text extracted from a document is then processed further by a large language model.

Our AI providers process this material under commercial agreements that prohibit them from using your data to train their models, and they do not keep it beyond what is needed for abuse monitoring and legal compliance. Where a document contains a tax file number, that number is handled under our Privacy Policy and the Privacy (Tax File Number) Rule 2015, and is used only for the tax-related purpose you uploaded the document for.

We also create numerical representations (embeddings) of some of your content so that search within the Platform can find things by meaning rather than by exact wording. These are stored with your practice's data and are not shared between practices.

If you would rather a particular document was not processed this way, do not upload it to an AI feature -- the Platform's manual functionality works without AI.

Human Review Required:

You acknowledge that AI Features are tools to assist qualified professionals, not replace them. All AI-generated content -- including but not limited to transaction categorizations, tax calculations, drafted communications, financial reports, BAS summaries, depreciation schedules, and workflow recommendations -- requires human review and approval by a suitably qualified professional before use in any professional, regulatory, or client-facing context. You must not submit any AI Output to a regulatory authority (including the ATO), present it to a client, or rely on it for compliance purposes without first conducting your own independent review.

No AI Training on Your Data:

We do not permit our third-party AI service providers to use your Customer Data to train, fine-tune, or improve their general-purpose AI models. We operate under commercial API agreements with our AI providers -- OpenAI, Mistral AI and Anthropic -- that prohibit model training on customer data submitted via API. Your Customer Data is used solely to generate responses to your specific requests and is not retained by third-party providers beyond what is necessary for abuse monitoring and legal compliance purposes, in accordance with their respective data processing agreements.

Cross-Practice Anonymous Learning:

Our Platform uses anonymized, de-identified patterns derived from transaction categorizations across multiple practices to improve suggestion accuracy for all users. This process:

  • Removes all personally identifiable information including names, account numbers, email addresses, phone numbers, ABNs, ACNs, and TFNs;
  • Hashes practice identifiers so that no individual practice can be identified from the aggregated data;
  • Applies confidence decay over time so that stale or outdated patterns are automatically retired;
  • Never shares raw transaction data, client details, or identifiable information between practices.

You may opt out of cross-practice learning at any time by contacting us at support@fedix.com.au.

AI Copilot:

The AI Copilot can carry out workflows at your direction, including but not limited to generating reports, categorizing transactions, drafting emails, creating share links, analyzing financial data, and performing reconciliation tasks. Destructive or high-impact operations (such as sending emails, deleting data, or submitting information to external services) require your explicit confirmation before execution. You acknowledge that you are responsible for reviewing and approving all actions taken by the AI Copilot on your behalf.

Liability for AI Outputs:

To the maximum extent permitted by law, we disclaim all liability for any loss, damage, penalty, fine, or claim arising from your reliance on AI Outputs without independent professional verification. You are solely responsible for the accuracy, compliance, and appropriateness of any work product, filing, correspondence, or advice that incorporates or is derived from AI Outputs. This includes, without limitation, any errors in tax calculations, incorrect categorizations, inaccurate financial statements, or misleading communications generated by AI Features. Your use of AI Features does not diminish or alter your professional obligations, duty of care, or regulatory responsibilities.

FediPilot:

These AI terms apply to FediPilot in the same way as to every other AI Feature. FediPilot additionally uses AI models from Anthropic (United States). FediPilot reads the client folders you point it at on your own computer and can fill in forms in lodgement software such as LodgeiT by controlling your browser. It does not lodge, submit, sign, file, or declare anything, and its Xero connection is read-only (see Section 3). You review and submit every lodgement yourself.

Client Identification and Screening (KYC/AML):

The Platform includes features that help you with client identification and screening work. These features use AI to review and summarise information you provide. They are a working aid, not a compliance service:

  • Our screening is not a sanctions, politically exposed person, or watchlist database, and it does not replace one. It does not give you a definitive answer about whether a person appears on any official list.
  • From 1 July 2026, accountants and trust and company service providers are reporting entities under the AML/CTF regime. Your obligations to AUSTRAC -- enrolling, having an AML/CTF program approved by your senior management, appointing a compliance officer, carrying out customer due diligence, reporting, and keeping records -- remain yours. Using our tools does not transfer, reduce, or discharge any of them.
  • You remain responsible for deciding what due diligence is appropriate for each client and for the conclusions you reach.

Session Memory:

To avoid asking you the same things repeatedly, the AI assistant remembers facts about you, your practice, and your clients between sessions -- for example, how you prefer work to be presented, or standing facts about a client's circumstances. You can view, correct, and delete what has been remembered at any time by contacting us at privacy@fedix.com.au. See our Privacy Policy for how this information is stored and how long it is kept.

Feedback:

If you send us feedback, bug reports, or feature requests, we use that text to improve the Platform. This includes automated tooling that reads your feedback and proposes changes to our software for our engineers to review. Please do not include client personal information in free-text feedback -- send us a reference instead and we will look it up.

9. Open Banking and Consumer Data Right

The Platform may integrate with accredited data recipients under the Australian Consumer Data Right (CDR) framework to access banking and financial data. The following terms apply to CDR Data:

(a) Consent-Based Access: CDR Data is obtained only with the express, informed consent of the relevant data holder's customer (typically your client). We will not access CDR Data without such consent.

(b) Purpose Limitation: CDR Data will be used solely for the purposes to which the data holder's customer has consented, which may include bank feed import, transaction reconciliation, and financial analysis within the Platform.

(c) Withdrawal of Consent: Consent for CDR Data access may be withdrawn at any time through the Platform or by contacting us. Upon withdrawal, we will cease collecting new CDR Data and will delete or de-identify existing CDR Data in accordance with our obligations under the CDR rules.

(d) Data Retention and Deletion: We retain CDR Data only for as long as necessary to fulfill the consented purposes and in compliance with the CDR data retention and deletion obligations prescribed by the ACCC.

(e) Privacy Safeguards: CDR Data is subject to the 13 Privacy Safeguards set out in Division 5 of Part IVD of the Competition and Consumer Act 2010 (Cth). We comply with all applicable ACCC CDR rules, including requirements relating to data minimization, security, and consent management.

(f) Third-Party Data Recipients: We may use accredited intermediaries (such as Adatree) to facilitate CDR Data access. Such intermediaries operate under their own CDR accreditation and are bound by the CDR rules independently.

10. Electronic Signatures

The Platform provides E-Signature functionality subject to the following terms:

(a) Legal Validity: E-Signatures applied through the Platform are intended to satisfy the requirements for electronic signatures under the Electronic Transactions Act 1999 (Cth) and equivalent state and territory legislation. However, we do not warrant that an E-Signature will be legally valid or enforceable in all circumstances.

(b) Excluded Documents: Certain categories of documents are excluded from electronic signing under Australian law, including (without limitation) wills and testamentary documents, powers of attorney, certain real property documents, and documents required to be witnessed in person. It is your responsibility to determine whether a document is eligible for E-Signature.

(c) Audit Trail: We maintain a comprehensive audit trail for all E-Signed documents, including signer identity, timestamp, IP address, and document hash. This audit trail is retained for the statutory period applicable to the type of document signed (typically 5 to 7 years for tax and financial documents), as set out in our Privacy Policy.

(d) Your Responsibility: You are solely responsible for ensuring that the use of E-Signatures is appropriate for your specific document type, jurisdiction, and regulatory requirements. We are not liable for any loss arising from the use of E-Signatures on documents that are not legally permitted to be signed electronically.

(e) Secure Storage: E-Signed documents are stored securely on our servers and are accessible through the Platform for the duration of your subscription.

11. Voice AI Agent

If you use the Voice Agent feature, the following additional terms apply:

(a) Call Recording: Calls to and from the Voice Agent are recorded and transcribed for quality assurance, service delivery, and record-keeping purposes. At the start of every call, the Voice Agent tells the caller that the call may be monitored and recorded and that they may be speaking with an AI assistant. Call recordings are retained for 12 months unless a longer retention period is required by law or requested by you.

(b) AI Disclosure: The AI nature of the Voice Agent is disclosed to callers at the start of each call, along with the option to ask to be transferred to a person at any time. We comply with all applicable requirements regarding disclosure of automated systems in telephone communications.

(c) Third-Party Processing: Voice data is processed by third-party providers including OpenAI (for real-time voice AI) and Twilio (for telephony infrastructure). By enabling the Voice Agent, you consent to the transmission and processing of voice data by these providers in accordance with their respective data processing agreements. Our no-training commitment in Section 8 applies to voice audio and transcripts processed by these providers in the same way as to any other Customer Data.

(d) Transcripts and Actions: Call transcripts may be used to create bookings, update client records, generate tasks, or take other actions within the Platform as instructed by the caller or as configured by you. You are responsible for reviewing any actions taken as a result of Voice Agent interactions.

(e) Consent: By enabling the Voice Agent for your practice, you consent to the recording, transcription, and processing of voice data for service provision purposes as described above. You are responsible for ensuring that your use of the Voice Agent complies with all applicable telecommunications and surveillance device legislation in your jurisdiction. Tell us if your circumstances require a different announcement and we will work with you on it.

12. Share Links and Client Collaboration

The Platform allows you to generate Share Links to facilitate client review and collaboration. The following terms apply:

(a) Temporary Secure Access: Share Links provide temporary, secure access to specific data sets within the Platform. Share Links may have configurable expiry periods and access controls.

(b) Your Responsibility: You are solely responsible for determining who receives a Share Link and for ensuring that the recipient is authorized to view the shared data. You must not share links containing confidential client information with unauthorized parties.

(c) Shared User Capabilities: Recipients of Share Links may be able to view transaction data and edit certain fields (e.g., GST flags, comments, and categorizations) depending on the permissions you configure. You are responsible for setting appropriate permissions.

(d) Revocation: You may revoke any Share Link at any time through the Platform, immediately terminating access for the recipient.

(e) No Liability for Recipient Actions: We are not responsible for any actions taken by recipients of Share Links, including unauthorized further distribution of the link or misuse of the data accessed through it.

13. Third-Party Services and Integrations

Our Platform relies on or integrates with third-party services ("Third-Party Services") to provide certain features. By using the Platform, you acknowledge and agree to the involvement of the following Third-Party Services:

AI and LLM Providers (OpenAI, Mistral AI, Anthropic):

We utilize third-party large language model APIs (OpenAI, Mistral AI and Anthropic) to power AI Features including the AI Copilot, transaction categorization, document OCR, communication drafting, analytical tools, and FediPilot. When you use an AI Feature, relevant portions of your data may be sent to the third-party AI service for processing. By using these features, you agree to this transfer and processing of data. We operate under enterprise API agreements that prohibit these providers from using your data for model training (see Section 8).

Stripe (Payment Processing):

We integrate with Stripe, Inc. for payment processing, including subscription payments and client payment transactions. If you use these features, you agree to comply with Stripe's terms of service. We do not store full credit card details on our systems; sensitive payment information is handled directly by Stripe.

Microsoft (Azure AD, Microsoft Graph API):

The Platform integrates with Microsoft services for authentication (Azure Active Directory / Microsoft Entra ID), email access and sending (Microsoft Graph API for Outlook/Exchange), calendar synchronization, and Teams meeting transcript analysis. By connecting your Microsoft account, you authorize the Platform to access the specific Microsoft services and data scopes you approve during the OAuth consent process.

Adatree (Open Banking / CDR):

We use Adatree as an accredited data recipient intermediary to facilitate Consumer Data Right (CDR) bank data access. Adatree operates under its own CDR accreditation and is independently bound by the CDR rules. See Section 9 for full CDR terms.

Twilio (SMS and Voice):

The Platform uses Twilio for telephony infrastructure supporting the Voice Agent feature and SMS notifications. Voice and SMS data processed through Twilio is subject to Twilio's data processing terms.

Xero (Accounting Software):

The Platform can integrate with Xero via OAuth2 to synchronize accounting data, chart of accounts, and other financial information. By connecting your Xero account, you authorize the Platform to read and write data as permitted by the Xero scopes you approve. FediPilot's separate Xero connection is read-only and is described in Sections 3 and 8.

Australian Taxation Office (ATO):

The Platform may facilitate interaction with ATO systems for tax compliance purposes, including retrieving activity statement and lodgment status/history. All ATO interactions are initiated by you and are subject to ATO terms and conditions. We are not the ATO and do not act as a tax agent on your behalf.

DigitalOcean (File Storage):

Uploaded files and documents may be stored using DigitalOcean Spaces (S3- compatible object storage). Data stored on DigitalOcean is encrypted at rest and in transit and is subject to DigitalOcean's data processing agreement.

No Endorsement or Control:

We do not have control over Third-Party Services and they operate under their own terms and privacy policies. If any Third-Party Service ceases to be available or imposes terms that are unacceptable to us, we may substitute or remove the integration with reasonable notice where practicable. We will not be liable for the unavailability of features that rely on Third-Party Services outside our control. We disclaim all liability for issues attributable to Third-Party Services.

Third-Party Terms:

Your use of Third-Party Services through our Platform is subject to those providers' terms and conditions. We expect you to comply with any such terms and understand that violating a third party's terms could result in suspension of the related feature. We are not a party to your agreements with those providers, and you agree that you will not hold us responsible for their actions, omissions, or service failures.

14. Intellectual Property Rights

Our IP:

We (and our licensors, if applicable) retain all ownership and intellectual property rights in and to the Platform, including all software, code, algorithms, designs, trademarks, trade names (including "Fedix" and "MyLedger"), logos, and content provided by us. Using our service does not transfer any intellectual property rights to you except for the limited, revocable, non-exclusive, non-transferable license to use the Platform as per these Terms. You must not copy, modify, distribute, sell, or lease any part of our software or materials, nor attempt to extract the source code, unless such actions are expressly permitted by law or we give you written permission.

Your IP:

You retain ownership of all intellectual property rights in the content and data you upload to the Platform (your Customer Data). We will not use or disclose your Customer Data except as needed to provide the services or as otherwise permitted by these Terms and our Privacy Policy. If you provide us with any feedback, suggestions, or ideas on how to improve the Platform, you agree that we may use and implement such feedback without obligation or compensation to you (you grant us a perpetual, irrevocable, royalty-free license to use the feedback for any purpose).

AI Outputs IP:

To the extent permitted by law, you own any original content you create using AI Features as a tool. However, AI-generated content may not be eligible for copyright protection in all jurisdictions, as copyright law generally requires human authorship. We make no representation regarding the intellectual property status of AI Outputs. You assume all risk associated with the use, publication, or distribution of AI Outputs, including any risk that such outputs may not be protectable under intellectual property law.

Third-Party IP:

All third-party trademarks (e.g., "Xero," "Stripe," "Microsoft," "OpenAI") and third-party services integrated in the Platform remain the intellectual property of their respective owners. Use of those names or services in our Platform does not imply any affiliation with or endorsement by them.

15. Disclaimers of Warranties

"As-Is" Service:

The Platform and all services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, representations, or conditions, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any guarantees that the service is fault-free or will meet all of your requirements. While we strive to provide a high-quality and reliable service, we do not guarantee that the Platform will be uninterrupted, error-free, or secure at all times.

No Professional Advice:

THE PLATFORM IS A TOOL FOR QUALIFIED PROFESSIONALS. IT DOES NOT PROVIDE TAX, ACCOUNTING, FINANCIAL, LEGAL, OR ANY OTHER FORM OF PROFESSIONAL ADVICE. The tools, content, calculators, checklists, and AI Outputs available on the Platform are for informational and productivity purposes only. AI-GENERATED OUTPUTS ARE NOT A SUBSTITUTE FOR PROFESSIONAL JUDGMENT. No information or results obtained from the Platform should be considered a substitute for your own professional judgment or advice from qualified professionals. YOU REMAIN SOLELY RESPONSIBLE FOR ALL WORK PRODUCT, FILINGS, ADVICE, AND RECOMMENDATIONS PROVIDED TO YOUR CLIENTS, REGARDLESS OF WHETHER SUCH WORK PRODUCT WAS INFORMED BY OR DERIVED FROM THE PLATFORM OR AI FEATURES. We do not accept responsibility for any errors or inaccuracies in the information or results provided by the Platform, and you use those results at your own risk.

Accuracy of Data:

While the Platform may include templates, knowledge bases, AI analyses, and tax rate information to assist you, we do not warrant that any data, content, AI Output, or materials you obtain through the Platform are completely accurate, reliable, or current. Tax laws change frequently, AI models may produce errors, and calculations may contain bugs. You must independently verify all critical outputs before use in any professional context. We will strive to correct known errors in a timely manner, but we assume no liability for harm resulting from inaccurate, incomplete, or misused data or tools on the Platform.

Third-Party Disclaimer:

We make no warranty regarding services or information provided by Third- Party Services, including AI model outputs, payment processing, CDR data accuracy, or any other third-party functionality. You bear the risk of using those third-party functionalities. We will, however, make reasonable efforts to ensure our integrations are working as intended and to inform you of any known outages or issues.

Australian Consumer Law: Certain statutory guarantees or consumer protections may apply under the Competition and Consumer Act 2010 (Cth) (including the Australian Consumer Law in Schedule 2) or other laws that cannot be lawfully excluded. If that regime applies to you and it is not lawful to exclude a particular guarantee, then nothing in these Terms will exclude, restrict, or modify that guarantee. In such case, our liability for breach of that guarantee is limited, to the extent permitted by law, to: (a) in the case of services, supplying the services again or paying the cost of having the services supplied again; and (b) in the case of goods, replacing the goods, supplying equivalent goods, or paying the cost of having the goods replaced (at our election).

16. Limitation of Liability

To the fullest extent permitted by law, in no event will we (or our directors, officers, employees, or agents) be liable to you or any third party for: (a) any indirect, incidental, special, consequential, or punitive losses or damages; or (b) any loss of profit, loss of revenue, loss of data, loss of business opportunities, or loss of goodwill, arising out of or in connection with your use of (or inability to use) the Platform or services, even if we have been advised of the possibility of such damages. This exclusion applies to any causes of action, whether in contract, tort (including negligence), strict liability, or otherwise.

In addition, and to the fullest extent permitted by law, our total aggregate liability for all claims arising from or related to the services or these Terms shall not exceed the total amount of fees you paid to us for the service in the 12 months immediately preceding the event giving rise to the liability.

Enhanced Cap for Data and Privacy Breaches: Notwithstanding the general liability cap above, in the event of a data breach or privacy breach caused by our negligence, our total aggregate liability for such breach shall not exceed three (3) times the amount of fees you paid to us in the 12 months immediately preceding the breach event. This cap does not apply to liability arising from our wilful misconduct or fraud, or to any liability that cannot be limited by law.

Specific Exclusions: Without limiting the generality of the above, we expressly disclaim liability for: (a) the accuracy, completeness, or fitness of any AI Output; (b) errors or inaccuracies in CDR Data provided by third-party data holders or intermediaries; (c) any loss arising from your reliance on AI Outputs without independent professional verification; and (d) any actions taken by recipients of Share Links.

These limitations and exclusions of liability are agreed allocations of risk reflecting the economic basis of the agreement. You acknowledge that absent your agreement to these Terms (including the disclaimer and limitation sections), the fees charged would be higher or we would not be able to offer the service.

Exceptions: Nothing in these Terms is intended to exclude or limit any liability that cannot be excluded by law. In particular, certain statutory guarantees or consumer protections may apply under the Competition and Consumer Act 2010 (Cth) or other laws that cannot be excluded. If that regime applies to you and it is not lawful to exclude it, then nothing in these Terms will exclude, restrict, or modify any remedy or liability we have under that law, and our liability is limited to the minimum extent permitted as described in Section 15.

Subject to the Exceptions paragraph above, and to the extent permitted by law, you agree that any claim or cause of action arising out of your use of the Platform or these Terms must be brought within 12 months of the occurrence of the event giving rise to the claim, otherwise it is waived by you. This period is paused for any time spent in the negotiation and mediation steps required by Section 20. Nothing in this paragraph limits any right or remedy under the Australian Consumer Law or any other law that cannot lawfully be excluded.

17. Indemnification

You agree to indemnify, defend, and hold harmless us and our affiliates, and our respective officers, directors, employees, and agents, from and against any and all losses, liabilities, claims, demands, damages, expenses, or costs (including reasonable legal fees) arising out of or related to:

  • (a) Your breach of these Terms or any misuse of the Platform;
  • (b) Your violation of any law or regulation (including privacy laws, tax laws, or professional standards) in connection with your use of the Platform;
  • (c) Any Customer Data you input or provide (including any allegation that such data infringes or misuses someone's rights, or that our processing of it according to these Terms violates a law);
  • (d) Your negligence or willful misconduct;
  • (e) Your misuse of AI Features, including reliance on AI Outputs without independent professional verification, use of AI Features to generate fraudulent or misleading content, or use of AI Features in violation of Section 6;
  • (f) Your unauthorized use, disclosure, or handling of CDR Data in breach of the CDR rules or without proper consent;
  • (g) Your misuse of E-Signature functionality, including applying E-Signatures to documents that are not legally permitted to be signed electronically.

This indemnity includes, for example, any claims brought by your clients or other third parties due to errors in filings or advice that result from your use of our Platform. We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (at your expense), and you agree to cooperate with our defense of such claim. You must not settle any such claim without our prior written consent (which will not be unreasonably withheld).

18. Term and Termination

Term:

These Terms apply from the moment you accept them (or first use the Platform). Your subscription runs for an initial term of six months, commencing on the date your practice goes live, and then continues month to month until either party ends it in accordance with this section. See Section 5 for the fee and price-change terms that go with this structure.

Your Termination Rights:

You may stop using the Platform and terminate your subscription at any time. You can terminate by using any account cancellation function provided in the Platform or by contacting us and receiving confirmation of termination. If you terminate a paid subscription before the end of your billing period, note that (as stated under Fees) we do not generally offer refunds for unused time; your account will remain active until the period expires and then will not renew. If you cancel during the initial six-month term other than for our material breach or material degradation of a core feature, you remain liable for the fees for the remainder of that term (Section 5).

If we change your price or these Terms in a way that is not in your favour, you may end your subscription without penalty as described in Sections 5 and 23, even during an initial term, and we will refund the unused portion of anything you have paid in advance.

Our Termination/Suspension Rights:

We may suspend or terminate your access to the Platform (in whole or in part) immediately if: (i) you breach any of these Terms and fail to cure the breach (if curable) within 14 days of notice; (ii) we determine that your use of the Platform violates any law or is causing immediate risk to us or others; or (iii) you fail to pay amounts due. We also reserve the right to terminate the agreement for convenience by providing you with at least 30 days' notice. In that case we will refund any prepaid fees on a pro-rata basis for the period after the termination effective date, as set out in Section 5, and you will not be liable for fees for the remainder of the initial term.

Effect of Termination:

Upon termination or expiration of your account, your right to access and use the Platform will cease. We will retain your Customer Data for approximately 90 days after the termination effective date (the "Data Retention Period"), during which time you may request export of your data in CSV, JSON, or PDF format. We will provide reasonable assistance with data export during this period. After the Data Retention Period, we will delete or de-identify your Customer Data, except where retention is required by law (for example, we may retain invoicing records for tax compliance for up to 7 years, or retain data if needed for litigation or regulatory purposes).

Survival:

The following provisions of these Terms survive termination or expiration of the agreement: Definitions (Section 2), Customer Data and Privacy (Section 7), Artificial Intelligence Terms (Section 8), Intellectual Property Rights (Section 14), Disclaimers of Warranties (Section 15), Limitation of Liability (Section 16), Indemnification (Section 17), Force Majeure (Section 19), Dispute Resolution (Section 20), Governing Law and Jurisdiction (Section 21), General Provisions (Section 22), and any other provisions which by their nature should survive.

After termination and expiration of the Data Retention Period, we will have no obligation to maintain or provide access to your data. We are not liable for any deletion of data as a result of termination, provided we adhere to the retention commitments in these Terms and our Privacy Policy.

19. Force Majeure

Neither party will be liable for any delay or failure to perform its obligations under these Terms (other than payment obligations) to the extent that such delay or failure is caused by events beyond the affected party's reasonable control ("Force Majeure Event"). Force Majeure Events include, but are not limited to: natural disasters (including fire, flood, earthquake, and storm), epidemics or pandemics, acts of war or terrorism, government actions or orders, civil unrest, internet or telecommunications disruptions, failures of third-party service providers (including cloud hosting, AI providers, and payment processors), cyberattacks (including DDoS attacks, ransomware, and data breaches caused by third parties), and power outages.

The affected party must: (a) promptly notify the other party of the Force Majeure Event and its expected duration; (b) use reasonable efforts to mitigate the impact of the event; and (c) resume performance as soon as reasonably practicable after the event ceases.

If a Force Majeure Event continues for a period of 90 consecutive days or more, either party may terminate these Terms by providing written notice to the other party. In such case, we will refund any prepaid fees on a pro-rata basis for the period of non-performance.

20. Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the services ("Dispute"), the parties agree to follow this resolution process:

Step 1 - Good Faith Negotiation:

The parties must first attempt to resolve the Dispute through good faith negotiation. Either party may initiate this process by providing written notice to the other party describing the Dispute and the relief sought. The parties will have 30 days from the date of such notice to attempt to resolve the Dispute through direct negotiation between senior representatives of each party.

Step 2 - Mediation:

If the Dispute is not resolved through negotiation within 30 days, either party may refer the Dispute to mediation. Mediation will be conducted in Sydney, New South Wales, by a mediator agreed upon by the parties or, if the parties cannot agree, a mediator appointed by the Resolution Institute (or its successor body). The costs of mediation will be shared equally between the parties, with each party bearing its own legal costs.

Step 3 - Litigation:

If the Dispute is not resolved through mediation, either party may commence proceedings in the courts of New South Wales, Australia. Each party bears its own costs unless the court orders otherwise.

Urgent Relief: Nothing in this section prevents either party from seeking urgent interlocutory or injunctive relief from any court of competent jurisdiction at any time if such relief is necessary to protect that party's rights or interests.

No Mandatory Arbitration: These Terms do not require mandatory binding arbitration. This reflects the position under Australian consumer law that mandatory arbitration clauses may be unfair in standard form consumer contracts.

21. Governing Law and Jurisdiction

These Terms and your use of the Platform are governed by the laws of New South Wales, Australia, and by applicable federal laws of the Commonwealth of Australia, without regard to conflict of law principles. The parties agree that the United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply to this agreement.

Subject to the dispute resolution process set out in Section 20, the parties submit to the exclusive jurisdiction of the courts of New South Wales and any courts competent to hear appeals from those courts. You agree that we may seek injunctive remedies (or equivalent urgent legal relief) in any jurisdiction if necessary to protect our interests or enforce our rights.

If you are accessing the Platform from outside Australia (note: currently our services are intended primarily for Australian users), you do so on your own initiative and are responsible for compliance with any applicable local laws. We make no representation that the Platform is appropriate or available for use in other jurisdictions.

22. General Provisions

Entire Agreement:

These Terms, together with the Privacy Policy, any applicable CDR Policy, and any order forms or subscription agreements you have entered into with us, constitute the entire agreement between you and us regarding the Platform and supersede all prior agreements, representations, and understandings (whether oral or written) relating to the subject matter.

Severability:

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be severed from these Terms and the remaining provisions will continue in full force and effect. Where possible, the invalid provision will be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.

Waiver:

No failure or delay by either party in exercising any right, power, or remedy under these Terms will operate as a waiver of that right, power, or remedy. A waiver is only effective if given in writing and signed by the waiving party, and then only in respect of the specific circumstances for which it is given.

Assignment:

You may not assign, transfer, or sub-license your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms to any affiliate or successor entity in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets, provided that the assignee agrees to be bound by these Terms.

Notices:

All notices required or permitted under these Terms must be in writing and will be deemed given: (a) when delivered personally; (b) when sent by email to the address associated with your account (for notices to you) or to support@fedix.com.au (for notices to us), provided the sender does not receive an automated bounce or failure notification; or (c) three (3) business days after being sent by registered post to our address set out in Section 24 (for notices to us) or to the postal address recorded in your account (for notices to you). We may also provide notices through the Platform interface (e.g., in-app notifications or banners).

23. Changes to Terms

We may update or modify these Terms from time to time, for example to reflect changes in our services, legal obligations, or business practices. If we make a material change, we will provide at least 30 days' notice to you by email or via the Platform (e.g., a prominent notice when you log in) and give you an opportunity to review the revised Terms. The updated Terms will be indicated by an updated "Last Updated" date at the top. By continuing to use the Platform after the effective date of the revised Terms, you are indicating your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the service and may terminate your account. We will maintain an archive of previous versions of these Terms, which you may request by contacting us.

If we make a material change to these Terms that is not in your favour and you do not want to accept it, you may cancel your subscription without paying any cancellation fee -- at any time before the change takes effect, or within 30 days after it takes effect. If you have paid in advance for a period beyond the date you cancel, we will refund the unused portion.
